{"id":18735,"date":"2008-07-29T13:56:30","date_gmt":"2008-07-29T20:56:30","guid":{"rendered":"https:\/\/emrabc.ca\/?p=18735"},"modified":"2022-07-14T14:12:56","modified_gmt":"2022-07-14T21:12:56","slug":"stanley-buys-ottawa-based-xmark","status":"publish","type":"post","link":"https:\/\/emrabc.ca\/?p=18735","title":{"rendered":"Stanley buys Ottawa-based Xmark"},"content":{"rendered":"<p><img loading=\"lazy\" decoding=\"async\" class=\"alignnone wp-image-18737\" src=\"https:\/\/emrabc.ca\/wp-content\/uploads\/2008\/07\/stanleyRFID.png\" alt=\"\" width=\"424\" height=\"240\" srcset=\"https:\/\/emrabc.ca\/wp-content\/uploads\/2008\/07\/stanleyRFID.png 916w, https:\/\/emrabc.ca\/wp-content\/uploads\/2008\/07\/stanleyRFID-300x170.png 300w, https:\/\/emrabc.ca\/wp-content\/uploads\/2008\/07\/stanleyRFID-768x434.png 768w\" sizes=\"auto, (max-width: 424px) 100vw, 424px\" \/><\/p>\n<h5><em>The Hugs tag features an RFID sensor that alerts hospital authorities if the wearer approaches an exit.<\/em><\/h5>\n<p>&nbsp;<\/p>\n<p><strong>The <a href=\"http:\/\/www.stanleyworks.com\/\">Stanley Works<\/a> announced July 18 it has completed the purchase of Ottawa-based <a href=\"http:\/\/www.xmark.com\/\">Xmark<\/a> Corp., a wholly-owned subsidiary of <a href=\"http:\/\/www.verichipcorp.com\/\">VeriChip Corp.<\/a> for $48 million in cash.<\/strong><\/p>\n<p>July 29, 2008\u00a0 By\u00a0 <a href=\"https:\/\/www.sptnews.ca\/author\/jbrown\/\">Jennifer Brown<\/a><\/p>\n<p>The deal consists of a $45 million agreed purchase price plus a balance\u00a0sheet adjustment of approximately $3 million (a portion of which\u00a0reflects the net cash position of Xmark as of the closing).\u00a0Xmark, whose headquarters and principal operations are located in\u00a0Ottawa, develops, markets and sells RFID-based systems used to\u00a0identify, locate and protect people and assets.\u00a0Xmark\u2019s infant protection system, Hugs, was installed last year at the\u00a0new Brampton Civic Hospital in Brampton, Ont.<\/p>\n<p>The system ensures full\u00a0supervision of all components, including the tag, with each tag sending\u00a0a \u201cHeartbeat\u201d status message every 10 seconds. If the system doesn\u2019t\u00a0receive these messages for a specified time period, an alarm is\u00a0automatically generated. If someone attempts to cut the tag, an alarm\u00a0is sounded and the system will show where the nearest receiver is\u00a0located.<\/p>\n<p>Stanley has been active in the long-term care portion of the\u00a0health-care market. The acquisition of Bed-Check in June of 2007\u00a0coupled with the recent acquisition of Xmark adds to the company\u2019s\u00a0interest in the health-care field.<\/p>\n<p>The purchase of Xmark expands the existing <a href=\"http:\/\/www.seniortechnologies.com\/default1024.asp\">Stanley Senior Technologies<\/a> business, said Todd Tyler, director, engineering and product management\u00a0with the company.<\/p>\n<p>\u201cNot only will we expand our existing long term care customer base with\u00a0the addition of the RoamAlert product, we will gain significant scale\u00a0in hospitals with the infant protections systems of Hugs and Halo.\u201d<\/p>\n<p>Tyler said that Xmark will report operationally through the Senior\u00a0Technologies business unit and the lease on the office building in\u00a0Ottawa will be renewed. When asked if there would be any elimination of\u00a0staff at the Xmark office in Ottawa, Tyler said, \u201cWith any acquisition\u00a0there will need to be rationalization of resources.\u201d<\/p>\n<p>There are several business units of Stanley Security Solutions that\u00a0have RFID solutions, ranging from human and physical asset tracking to\u00a0cash tracking to security access control. Stanley Senior Technologies\u00a0has been an RFID based company since its inception in 1985.<\/p>\n<p>Stanley has also recently completed the purchase of <a href=\"http:\/\/www.sonitrol.com\/\">Sonitrol Corp<\/a>. from\u00a0an ownership group comprised of Carlyle Venture Partners, Wachovia<\/p>\n<p>Capital Partners and Spire Capital Partners as well as selected members\u00a0of Sonitrol management for US$276 million cash. Sonitrol, headquartered\u00a0in Berwyn, Penn., provides security monitoring services, access control\u00a0and fire detection systems to commercial customers in North America via\u00a0two monitoring centres and a national multi-channel distribution\u00a0network.<\/p>\n<p>SOURCE 1 : <span id=\"yiv8870588513m_-5302427075878688220m_-6324554091099496616m_1695835987502167590m_-7005888515483868848m_-4583241995792833917m_-7571523806467578595m_-5173594412978845027m_-1068482655808165055m_5139454858942947360m_3401150828286332556m_6388525778276005273m_1893450938169439345gmail-OBJ_PREFIX_DWT547_com_zimbra_url\"><a href=\"https:\/\/www.sptnews.ca\/stanley-buys-ottawa-based-xmark-871\/\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">sptnews.ca\/stanley-buys-ottawa-based-xmark-871\/<\/a><\/span><\/p>\n<p>&nbsp;<\/p>\n<h2 class=\"subheader\">INFANT SECURITY SYSTEMS PROTECTING 2 MILLION BABIES PER YEAR<\/h2>\n<p class=\"first-paragraph\">People think of hospitals as safe and secure places, where life\u2019s most important events happen.<\/p>\n<p>The Hugs\u00ae and Kisses\u00ae infant protection systems have played an important part in ensuring safety of hospitals\u2019 youngest patients since it was introduced in 1998.<sup>1<\/sup> Today, the Hugs and Kisses systems, which is a part of STANLEY Healthcare, protect 2 million babies annually at more than 1,600 hospitals worldwide.<sup>2<\/sup><\/p>\n<p>The Hugs system was first implemented in the Kienzle Family Maternity Center at Crouse Hospital in Syracuse, New York.<sup>3<\/sup> Each newborn is fitted with a tamper-detecting band that tracks movements of a child within secured areas of the hospital. When a child passes outside of a designated zone without prior authorization, an alarm sounds.<sup>4<\/sup><\/p>\n<p>The Kisses system, which was introduced in 2002, complements the Hugs system.<sup>5<\/sup>Kisses bands are worn by new mothers and are linked to babies\u2019 bands; an audio signal confirms whether babies and moms are properly matched.<sup>6<\/sup><\/p>\n<p>The RFID technology found in the Hugs and Kisses systems was acquired in 1990 by a company called Instantel \u2014 now part of the STANLEY Security family \u2014 that specializes in industrial seismographs used by construction and mining companies.<sup>7<\/sup>Instantel experimented with the radio technology and launched several products that used RFID tags.<sup>8<\/sup> In fact, some hospitals used these products with babies and elderly patients before Hugs was introduced.<sup>9<\/sup><\/p>\n<p>In 2005, Instantel was acquired by Verichip Corp.<sup>10<\/sup> Stanley purchased the division, then called Xmark Corp., for $45 million in 2008.<sup>11<\/sup> Since then, Stanley has continued to improve upon the Hugs and Kisses systems, and it also markets WanderGuard, a similar system designed especially for elderly patients.<sup>12<\/sup><\/p>\n<p>The Hugs and Kisses system is just one of the innovative solutions offered by STANLEY Healthcare.
